TERMS OF SERVICE

Xpressale NG and Interested Parties (Delivery and Logistics Companies Ghana)

Effective Date: 21st January 2022

By entering into a partnership with Xpressale Global for delivery and logistics services, the participating company agrees to the following terms and conditions:

1. Scope of Services:
– The logistics company agrees to provide delivery services in accordance with the specifications outlined by Xpressale Global. This includes adhering to delivery schedules, ensuring the safety of goods, and maintaining high service standards.

2. Compliance with Laws:
– The logistics company shall comply with all applicable laws, regulations, and industry standards related to the provision of delivery services, including but not limited to transportation, customs, and environmental regulations.

3. Technology Integration:
– The logistics company agrees to integrate its systems with Xpressale Global’s technology platform for real-time tracking, route optimization, and data exchange to enhance overall efficiency.

4. Confidentiality:
– Both parties agree to treat all non-public information obtained during the partnership as confidential. This includes business strategies, customer data, and any proprietary information shared for the purpose of collaboration.

5. Insurance and Liability:
– The logistics company is responsible for maintaining appropriate insurance coverage for its operations, including but not limited to liability insurance. Any liabilities arising from the provision of delivery services shall be the responsibility of the logistics company.

6. Quality Assurance:
– The logistics company shall ensure the quality and condition of delivered goods, taking necessary measures to prevent damage or loss during transportation. Any discrepancies or damages must be reported promptly.

7. Payment and Invoicing:
– Payment terms and invoicing procedures shall be outlined in a separate agreement. The logistics company agrees to submit accurate and timely invoices for services rendered.

8. Duration and Termination:
– The partnership shall commence on the effective date and continue until terminated by either party with written notice. Either party may terminate the partnership immediately in the event of a material breach of these terms.

9. Modification of Terms:
– These terms and conditions may be modified by mutual agreement in writing. Any modifications will be effective upon both parties’ consent.

10. Governing Law:
– This partnership agreement shall be governed by and construed in accordance with the laws of [insert jurisdiction]. Any disputes arising from this agreement shall be resolved through arbitration in accordance with the rules of [insert arbitration institution].
